SECTION 430(2B) COMPANIES ACT 2006 STATEMENT - JOHN GIBNEY

Further to the announcement made on 20 May 2015, Britvic plc ("the Company") announces that John Gibney has stepped down as a Director of the Company following the Company's AGM which was held earlier today. John will remain with the Company until his retirement in April 2016.

In accordance with section 430(2B) of the Companies Act 2006, the following arrangements will apply in respect of John's remuneration upon retirement:

1)         John will remain an employee of the Company until 5 April 2016 when he will retire.

2)         John will receive a pro-rated bonus in respect of 2016 to reflect his time employed during the financial year, subject to achievement of performance conditions disclosed in the 2015 Directors' Remuneration Report. Any bonus will be paid to him in December 2016.

3)         John will be treated as a 'Good Leaver' under the rules of the Share Incentive Plan. All shares held under the plan will become available for sale or transfer.

4)         Awards made to John under the Britvic Performance Share Plan and Britvic Executive Share Option Plan for 2013 and 2014 will vest at the normal vesting date, subject to achievement of the relevant performance conditions. All unvested awards will be reduced to reflect the proportion of each performance period completed as at 5 April 2016. John did not receive an award under either plan for 2015.

5)         John will be entitled to his accrued pension under the Britvic Pension Plan and the Britvic Executive Top Up Scheme payable in accordance with the plan rules.

6)         Other than the amounts disclosed above, John will not be eligible for any pay in lieu of notice or severance as a result of his retirement.
