On October 1, 2014, the College Retirement Equities Fund ("CREF") purchased 9,182 shares of Britvic Plc, bringing CREF's holdings to 8,100,225 shares in Britvic Plc.  CREF owns these shares through two of its investment accounts, the Stock Account and the Global Equities Account.  It is our understanding there were 247,229,115 total voting shares in Britvic Plc that were outstanding on October 1, 2014 , bringing CREF's total ownership in Britvic Plc to 3.276%.  CREF is a U.S.-based SEC registered investment company that is managed by TIAA-CREF Investment Management, LLC ("TCIM"), an SEC registered investment adviser. Additionally, certain affiliates of CREF own 1,883,335 shares of Britvic Plc.  1,674,773 of these shares are owned by the TIAA-CREF Funds and the TIAA-CREF Life Funds, each of which is a U.S.-based SEC registered investment company that is managed by Teachers Advisors, Inc. ("TAI"), an SEC registered investment adviser.  TAI is affiliated with TCIM and both are indirect, wholly-owned subsidiaries of Teachers Insurance and Annuity Association of America ("TIAA"), a New York insurance company.  208,562 of these shares are also owned by certain accounts of Nuveen Asset Management, LLC ("NAM"), an SEC registered investment adviser.  On October 1, 2014, TIAA closed the acquisition of all of the issued and outstanding stock of NAML and its affiliates (the "Acquisition"), thus making NAML an affiliate of TIAA, TCIM and TAI.  As a result of the Acquisition, the combined TIAA-Nuveen enterprise now has aggregated holdings of 9,983,560 shares or 4.038% of the issued and outstanding voting shares in Britvic Plc.  Each of TCIM, TAI and NAM are aggregating their holdings in Britvic Plc following the closing of the Acquisition as required by current FCA Disclosure and Transparency Rules.  However, each of TCIM, TAI and NAML separately and independently vote all proxies for shares held in Britvic Plc.  (See Exhibit A)
