b) Pursuant to the Scheme of Arrangement amongst Britannia Industries Limited and its Shareholders as sanctioned by the Kolkata Bench of the Hon’ble National Company Law Tribunal vide its order dated May 07, 2021; whereby upon coming into effect of the Scheme, the Company shall issue and allot by way of bonus, 1 (One) fully paid-up Debenture (5.5% Unsecured, Non-Convertible, Redeemable, fully paid up Debentures) of the face value of Rs. 29/- each, by utilizing its General Reserves, for every 1 (One) fully paid- up equity share of face value of Re. 1/- each held by a Shareholder as on the Record Date.
