Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On November 28, 2014, the Board of Directors of Era Group Inc. (the “Company”) appointed Christopher S. Bradshaw, Acting Chief Executive Officer and Chief Financial Officer of the Company, to the positions of President, Chief Executive Officer and Chief Financial Officer of the Company. The Compensation Committee of the Company’s Board of Directors (the “Compensation Committee”) previously approved an adjustment from $335,000 to $500,000 to the annual base salary for Mr. Bradshaw in connection with his appointment to the position of Acting Chief Executive Officer and Chief Financial Officer of the Company. In connection with this appointment, the Compensation Committee is expected to grant Mr. Bradshaw incentive equity awards in December 2014.
