Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 30, 2023, BrightView Holdings, Inc. (the “Company”) approved a grant of restricted stock units (“RSUs”) to James R. Abrahamson, the Company’s interim Chief Executive Officer, with a grant value equal to $500,000. The RSUs vest in full on the date immediately prior to the commencement of employment of a permanent Chief Executive Officer (or such earlier date on which a change in control occurs or Mr. Abrahamson’s employment is terminated without cause or due to death or permanent disability). The terms of the RSUs, other than the grant value, are substantially similar to the award of RSUs included in the Interim Chief Executive Officer Agreement with Mr. Abrahamson previously disclosed in the Company’s Form 8-K filed on May 4, 2023.
