Notice of hearing to approve scheme of arrangement under section 411 of the Corporations Act 2001 (Cth)
Alto Metals Limited (ACN 159 819 173) (ASX:AME) ( Alto ) provides this update in relation to the proposed acquisition of 100% of the shares in Alto by Brightstar Resources Limited (ACN 100 727 491) (ASX:BTR) ( Brightstar ) by way of a scheme of arrangement ( Scheme ) for four (4) new Brightstar shares for every one (1) Alto share held on the Record Date for the Scheme.
Subject to Alto shareholders approving the Scheme by the requisite majorities at the Scheme Meeting to be held at 1:30pm (AWST) on 19 November 2024, the Court hearing to approve the Scheme ( Second Court Hearing ) will take place at 10:00am (AWST) on 29 November 2024 in the Supreme Court of Western Australia at Level 11, David Malcolm Justice Centre, 28 Barrack Street, Perth, Western Australia.[1]
Alto shareholders have the right to appear and be heard at the Second Court Hearing and may oppose the approval of the Scheme at the Second Court Hearing. If you wish to oppose approval of the Scheme by the Court at the Second Court Hearing, you must file with the Court, and serve on Alto, a notice of appearance, in the prescribed form, together with any affidavit on which you wish to rely at the hearing. The notice of appearance and affidavit must be served on Alto at its address for service at least one (1) business day before the Second Court Hearing. The address for service of Alto is Gilbert + Tobin, Level 16, Brookfield Place Tower 2, 123 St Georges Terrace, Perth WA 6000 (Attention: Patrick Tydde).

1 The Second Court Hearing may not take place at this time and date if all of the conditions precedent to the Scheme (other than approval of the Scheme at the Second Court Hearing) have not been satisfied or waived (as applicable) before 8:00am (AWST) on 29 November 2024. Full details of the conditions precedent to the Scheme are set out in the Scheme Booklet dated 18 October 2024 (as supplemented by the Supplementary Information Letter dated 7 November 2024).
