SCHEMES OF ARRANGEMENT WITH BRIGHTSTAR

COURT ORDERS CONVENING SCHEME MEETINGS

Kingwest Resources Limited ( Kingwest or the Company ) (ASX: KWR) refers to the proposed strategic merger with Brightstar Resources Limited ( Brightstar ) (ASX:BTR) under which Brightstar will acquire 100% of the issued capital in Kingwest by way of Scheme of Arrangement, as announced on 23 December 2022 and 15 March 2023 ( Schemes ).[1]

Kingwest is pleased to advise that the Supreme Court of Western Australia ( Court ) has made orders approving the despatch of the Scheme Booklet and has ordered that the following meetings of Kingwest Securityholders be convened (together, the Scheme Meetings ):

• On 12 May 2023 at 10:30am (AWST) at the Conference Room at London House, Ground Floor (Conference Room), 216 St Georges Terrace, Perth WA 6000, a meeting of Kingwest Shareholders be convened to consider and, if thought fit, approve the Share Scheme of Arrangement ( Share Scheme Meeting ); and

• On 12 May 2023 at the later of 11:00am (AWST) and the conclusion of the Share Scheme Meeting, also at London House, Ground Floor (Conference Room), 216 St Georges Terrace, Perth WA 6000, a meeting of Kingwest Optionholders be convened to consider and, if thought fit, approve the Option Scheme of Arrangement ( Option Scheme Meeting ).

If Kingwest Securityholders approve the Schemes at the Scheme Meetings, Kingwest will apply to the Supreme Court of Western Australia for Court approval of the Schemes at a hearing scheduled on 18 May 2023 at 10:00am (AWST).

If the Court approves the Schemes, Kingwest proposes to lodge the orders of the Court with the Australian Securities and Investment Commission on 19 May 2023 with the Schemes becoming legally effective on that date.
