Appointment of Directors

Dear Sir/Madam

Stone Resources Australia Limited ( Company ) wishes to announce that it has agreed to the appointment of Mr Yong Han as Chief Executive Officer/Executive Director ( Mr Han ) and Mr Fang Lu as Executive Director ( Mr Lu ) of the Company (together, the New Directors ).

The appointment of Mr Lu as Executive Director will be effective from 24 January 2014. Mr Han will be appointed as Chief Executive Officer effective today, with his appointment as Executive Director to be made with Mr Lu on 24 January 2014.

Mr Yong Han – Chief Executive Officer/Executive Director

Yong Han was appointed President of Shaanxi Ma’anqiao & Mine Industry Co., Ltd in 1993. He is a Senior Economist and Chinese Certified Professional Manager. Since 1998, Mr Han has been Tenure Researcher at China Academy of Management Science. He has held the position as Vice Chairman of Shaanxi Gold Association since 2005. Before his appointment as Chief Executive Officer, Mr Han was the Executive Vice President of the Company and is responsible for the department of mining and production.

Mr Fang Lu – Executive Director

Fang Lu joined the Stone Group ( Group ) in 1990. He became the Vice President of the Group and its subsidiaries and was appointed to the board of the Group in 2000. Mr Lu is also the Vice President of Beijing Stone New Technology Industrial Company Limited and Beijing Stone Investment Co., Ltd.

Mr Lu graduated from Beijing University of Aeronautics & Astronautics and was a visiting scholar at McMaster University (Canada) in 1988.

Mr Yong Han and Mr Fang Lu have both provided their consents to the appointment.
