Execution of Deed of Settlement with Bill Hobba

and

Appointment of Non-executive Director

The board refers to the company’s news releases respectively on 11[th] July and 2[nd] August 2012 regarding statutory demands served by entities associated with Bill Hobba.

The board is pleased to advise that the company has today executed a deed of settlement with such entities whereunder the company will (i) pay such entities $100,000 in cash before 15[th] October 2012 and (ii) subject to shareholder approval being obtained in the forthcoming general shareholder meeting held no later than 30[th] November 2012, issue 20,000,000 new shares to such entities, in full and final settlement of their claims in those statutory demands.

The board has also appointed Bill Hobba as a non-executive director of the company effective from today. Mr. Hobba has formerly served the company as an executive director and technical services manager. The board welcomes Mr. Hobba to rejoin the company.
