("Breedon" or the "Company")

Director Dealings

The Company has been notified that Rob Wood, Group Finance Director of Breedon Group plc, has transferred 12,290 ordinary shares of no par value each in the Company ("Ordinary Shares") to his personal individual savings account ("ISA") and 12,290 Ordinary Shares to his wife's ISA, at a price of 70 pence per Ordinary Share.

The above transfers have no effect on Mr Wood's total beneficial shareholding of 672,823 Ordinary Shares, representing approximately 0.04 per cent of the issued share capital of the Company.

As at today's date, the Company has 1,679,221,706 Ordinary Shares in issue, none of which are held in treasury.  This figure may therefore be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
