Directors' Dealings

Further to the Company's announcement on 9 September 2013, Breedon now announces that, on 1 October 2013, pursuant to the exercise of put options granted under the Management Participation Shares arrangement, the directors whose names are set out below were each allotted the number of ordinary shares of nil par value in the Company ("Ordinary Shares") set against their name in the table below.

The Company further announces that, following the allotment referred to above, each director sold the number of Ordinary Shares set against their name in the third column below for 31.0p per share and, as a consequence, each director now has an interest in the number of Ordinary Shares set against their name in the fourth column below.

Following the above allotment, and the allotment of 12,346,584 new Ordinary Shares issued pursuant to the exercise of the Marwyn Participation Shares announced on 24 September 2013, there will be 1,006,720,790 Ordinary Shares in issue. This number may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
