Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 6, 2010, Kirkland’s, Inc. amended its Amended and Restated Charter. The sole purpose of the amendment was to reflect a change in Kirkland’s registered office and agent and principal office.
