UPDATE ON RESTORATION OF PUBLIC FLOAT

Reference is made to the announcements dated 11 June 2018, 19 June 2018, 7 August 2018, 2 October 2018, 24 October 2018, 19 November 2018, 26 November 2018, 27 November 2018 and 10 December 2018 (collectively, the “ Announcements ”) of Top Dynamic International Holdings Limited (the “ Company ”). Unless stated otherwise, capitalised terms used herein shall have the same meanings as those defined in the Announcements.

UPDATE ON RESTORATION OF PUBLIC FLOAT

As stated in the Announcements, on 26 November 2018, the Stock Exchange granted a waiver to the Company for the period from 1 November 2018 to 20 December 2018. As additional time is required for the Company and the Offeror to restore the public float of the Shares, an application will be made to the Stock Exchange for a temporary waiver from strict compliance with Rule 8.08(1)(a) of the Listing Rules. Further announcement(s) will be made by the Company regarding the restoration of public float as and when appropriate.

PLACING OF SHARES

The placing in relation to the placing agreement entered into between the Offeror and the Placing Agent as mentioned in the Announcements is still in progress.

CONTINUED SUSPENSION OF TRADING

At the request of the Company, trading in the Shares of the Company on the Stock Exchange has been suspended with effect from 9:00 a.m. on Monday, 11 June 2018. Trading in the Shares will remain suspended until further notice.

Shareholders of the Company and potential investors are advised to exercise caution when dealing in the Shares and other securities of the Company.

As at the date of this announcement, the Board comprises two executive Directors, namely, Mr. Zhang Liang Johnson, Ms. Wan Duo and three independent non-executive Directors, namely Mr. Xu Liang, Mr. Chen Johnson Xi and Ms. Zhang Yibo.
