COMPLETION OF DISCLOSEABLE AND CONNECTED TRANSACTION IN RELATION TO THE ACQUISITION OF THE ENTIRE EQUITY INTEREST OF GUANGZHOU WEAVING COMMUNICATION

Reference is made to the announcements of Brainhole Technology Limited (the “ Company ”) dated 5 March 2019, 23 April 2019, 31 May 2019 and 2 July 2019 and the circular of the Company dated 30 July 2019 (the “ Circular ”) in relation to, among other things, the acquisition of the entire equity interest of Guangzhou Weaving Communication (the “ Target ”). Unless otherwise specified, capitalised terms used in this announcement shall have the same meaning as those defined in the Circular.

The Board is pleased to announce that the Completion took place on 12 September 2019 in accordance with the terms and conditions of the Acquisition Agreement. Upon Completion, the Target has become an indirect wholly-owned subsidiary of the Company and the financial results of the Target will be consolidated into the financial statements of the Group.
