CHANGE OF COMPANY NAME, STOCK SHORT NAME AND COMPANY WEBSITE

CHANGE OF COMPANY NAME

The Board is pleased to announce that the English name of the Company has been changed from “Top Dynamic International Holdings Limited” to “Brainhole Technology Limited” and the dual foreign name of the Company in Chinese has been changed from “泰邦集團國際控股有限公司” to “腦洞科技 有限公司”.

CHANGE OF STOCK SHORT NAME

The stock short name for trading in the Shares on the Stock Exchange will be changed from “TOP DYNAMIC” to “BRAINHOLE TECH” in English and from “泰邦集團” to “腦洞科技” in Chinese, both with effect from 9:00 a.m. on 9 April 2019. The stock code of the Company on the Stock Exchange will remain unchanged as “2203”.

CHANGE OF COMPANY WEBSITE

The website of the Company has been changed from “www.topdynamicintl.com” to “www. brainholetechnology.com” with effect from 1 April 2019.

Reference is made to the announcement of Brainhole Technology Limited (formerly known as Top Dynamic International Holdings Limited) (the “ Company ”) dated 11 January 2019 and the circular of the Company dated 25 January 2019 (the “ Circular ”) in relation to the proposed change of the name of the Company (the “ Proposed Change of Company Name ”). Unless otherwise defined herein, capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.

CHANGE OF COMPANY NAME

The Board is pleased to announce that subsequent to the approval of the Proposed Change of Company Name by the Shareholders by way of poll at the EGM held on 20 February 2019, the Certificate of Incorporation on Change of Name was issued by the Registry of Companies in Cayman Islands on 21 February 2019, certifying the change of English name of the Company from “Top Dynamic International Holdings Limited” to “Brainhole Technology Limited” and the change of the dual foreign name in Chinese of the Company from “泰邦集團國際控股有限公司” to “腦洞科技有限公司”.

The Registrar of Companies in Hong Kong has issued the Certificate of Registration of Alteration of Name of Registered Non-Hong Kong Company on 26 March 2019 certifying the registration of the Company’s new English and Chinese names of “Brainhole Technology Limited” and “腦洞科技有限公司 （腦洞科技有限公司）” respectively in Hong Kong under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong).

CHANGE OF STOCK SHORT NAME

With effect from 9:00 a.m. 9 April 2019, the stock short name will be changed from “TOP DYNAMIC” to “BRAINHOLE TECH” in English and from “泰邦集團” to “腦洞科技” in Chinese for the purpose of trading in the Shares on the Stock Exchange. The stock code of the Company on the Stock Exchange will remain unchanged as “2203”.

The website of the Company has been changed from “www.topdynamicintl.com” to “www. brainholetechnology.com” with effect from 1 April 2019.

EFFECTS OF THE CHANGE OF COMPANY NAME

The Proposed Change of Company Name will not affect any rights of the existing Shareholders. All existing share certificates in issue bearing the present name of the Company shall continue to be evidence of title to such shares and will remain valid for trading, settlement, registration and delivery purposes. Accordingly, there will not be any arrangement for exchange of the existing share certificates. With effect from 9 April 2019, new share certificates of the Company will be issued under the new name of the Company in any subsequent issue of Shares.
