APPOINTMENT OF COMPLIANCE ADVISER

Reference is made to the announcement of Top Dynamic International Holdings Limited (the “ Company ”) dated 25 May 2017.

The board (the “ Board ”) of directors (the “ Directors ”) of the Company announces that Zhongtai International Capital Limited (“ Zhongtai ”) has been appointed as the Company’s compliance adviser with effect from 14 August 2017 until the date, pursuant to Rule 9A.13 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”), on which the Company complies with Rule 18.03 of the Rules Governing the Listing of Securities on the Growth Enterprise Market of the Stock Exchange (“ GEM ”) in respect of its financial results of the second full financial year commencing after the date of its initial listing on GEM (being the financial year ending 31 December 2017), or until the compliance adviser agreement entered into between the Company and Zhongtai is terminated in accordance with its terms, whichever is earlier.

Zhongtai is a licensed corporation to carry out types 1 (dealing in securities) and 6 (advising on corporate finance) regulated activities under the Securities and Futures Ordinance, Chapter 571 of the Laws of Hong Kong.
