Dear Sir/Ma’am,

With reference to subject captioned above and our earlier filing dated March 06, 2025 bearing reference no. FC/SE/2024-25/92 regarding the allotment and transfer of Equity Shares of face value of Rs. 2/- each as approved by the Nomination and Remuneration Committee of Brainbees Solutions Limited (‘ Company ’) on Thursday, March 6, 2025 pursuant to exercise of ESOPs, this to inform that there was an error in the reported numbers of “options lapsed” and “options vested” for the Brainbees Employees Stock Option Plan 2022 in the detailed disclosure provided as Annexure-I in the earlier filing under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”).

Therefore, the revised disclosure with complete details as required under Regulation 30 of SEBI Listing Regulations in enclosed herewith towards the Allotment of 4,56,047 (Four Lakhs Fifty Six Thousand Forty Seven Only) Equity Shares and Transfer of 5,37,359 (Five Lakhs Thirty Seven Thousand Three Hundred Fifty Nine Only) Equity Shares under Brainbees Employees Stock Option Plan 2022 through cash exercise and cashless exercise method.

Disclosure as per Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

a)	Brief details of options granted;	The present instance and reporting is for the: 1. Allotment of 4,56,047 equity shares of the Company of face value of Rs. 2/- each, fully paid up, upon exercise of 4,56,047 number of options by eligible employees under Brainbees Employees Stock Option Plan 2022 (“BBESOP 2022”). 2. Transfer of 5,37,359 equity shares less Sell Shares of the Company of face value of Rs. 2/- each, fully paid up, from Brainbees ESOP Trust (Trust) to eligible employees upon exercise of 5,37,359 number of options under BBESOP 2022 through cash exercise and cashless exercise method. These Options were granted by the Company from time to time and the details of the granted options have been provided in our offer documents.
b)	Whether the scheme is in terms of SEBI (SBEB) Regulations, 2021 (if applicable);	Yes
c)	Total number of shares covered by these options;	The present disclosure is in respect of allotment of 4,56,047 equity shares and transfer of 5,37,359 equity shares, through cash exercise and cashless exercise method, approved by the Nomination and Remuneration Committee on March 6, 2025 under the BBESOP 2022 .
d)	pricing formula;	These Options are exercised at an exercise price of Rs. 2/- each.
e)	options vested;	As on date, options vested under the BBESOP 2022 are 1,70,14,227 excluding the total shares exercised till date. The present instance is of allotment of 4,56,047 and transfer of 5,37,359 equity shares, upon exercise of 9,93,406 vested options.
f)	time within which option may be exercised;	The exercise period is provided in the option agreement as per the BBESOP 2022.
g)	options exercised;	9,93,406(through trust and direct route)
h)	money realized by exercise of options;	Rs. 19,86,812/-
i)	the total number of shares arising as a result of exercise of option;	4,56,047 new equity shares issued pursuant to allotment & 5,37,359 existing equity shares less Sell Shares shall be transferred from Trust to employees as per the cash exercise and cashless exercise method.
