Sub: Disclosure pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 Ref: Earlier intimation dated March 25, 2025 bearing reference no. FC/SE/2024-25/95

This is in furtherance to our intimation dated March 25, 2025, wherein we have informed that the Board of Directors of the Company has approved the fund infusion of an amount not exceeding INR 146,00,00,000/- (Indian Rupees One Hundred and Forty Six Crores Only) by way of subscription to Compulsory Convertible Preference Shares (CCPS) of Globalbees Brands Private Limited (“ Globalbees ”), a subsidiary of the Company.

In this connection and pursuant to Series C2 Share Subscription Agreement dated March 30, 2025, we hereby further inform that the Company has made an investment of INR 73,00,47,000/- (Indian Rupees Seventy Three Crores and Forty Seven Thousand Only) towards 1[st] Tranche Series C2 CCPS and Globalbees has allotted 2,220 Series C2 CCPS of face value of INR 5/- each at a premium of INR 3,28,845/- (Indian Rupees Three Lakhs Twenty Eight Thousand Eight Hundred and Forty Five Only) each to the Company on April 04, 2025.

Pursuant to the above issue, the Company will hold 87,059 shares of Globalbees and its shareholding in Globalbees will increase from 50.73% to 51.12% on fully diluted basis.

As part of Series C2 CCPS issuance, Globalbees, a material subsidiary of the Company, has allotted total of 3,041 Series C2 CCPS for an aggregate consideration of INR 1,00,00,32,850/- (Indian Rupees One Hundred Crore Thirty Two Thousand Eight Hundred and Fifty Only) to its existing shareholders with whom the above said Series C2 Share Subscription Agreement has been executed.
