Dear Sir/Ma’am,

This is in furtherance to our earlier intimation dated August 13, 2025, wherein we have informed that the Board of Directors of the Company has approved the further investment of ₹19,96,32,990/- (Rupees Nineteen Crores Ninety Six Lakhs Thirty Two Thousand Nine Hundred and Ninety Only), in Globalbees Brands Private Limited (“ Globalbees ”), a material subsidiary of the Company.

The investment was originally made in the form of convertible loan, subject to the condition that it would be converted into Series C3 Compulsorily Convertible Preference Shares (“ CCPS ”) within a period of two months. In this connection, Globalbees has today, i.e. September 19, 2025, allotted 607 Series C3 CCPS of face value of INR 5/- each at a premium of INR 3,28,845/- each to the Company, aggregating to INR 19,96,11,950/- (Rupees Nineteen Crores Ninety Six Lakhs Eleven Thousand Nine Hundred and Fifty Only). Pursuant to the valuation report obtained, there is a difference of INR 21,040/- (Rupees Twenty One Thousand and Forty Only) in the amount of convertible loan granted and issued amount of Series C3 CCPS, which will be refunded to the Company by Globalbees.

Pursuant to the above allotment, the Company will now hold 89,886 shares of Globalbees and its shareholding in Globalbees will increase from 51.51% to 51.68% on fully diluted basis.
