Pursuant to the Regulation 17 (1) (c) of SEBI (LODR) Regulations, 2015, the Board of Directors of the top 2000 listed companies (based on Market Capitalization), shall comprise of not less than six directors.

As our company - BPL Limited figures within top 2000 listed companies, the company is required have 6 members on the board. Consequent to the untimely demise of Mr. P V Moorthy on 19th May 2021, the company had to appoint a new director as a replacement. Accordingly, the Board at its meeting (based on the recommendations of the Nomination & Remuneration Committee) held on 13th August 2021 has appointed Mr. C K Sabareeshan as an independent director of the company.

Also, the company hereby confirms that the instructions given under "circular No. NSE/CML/2018/24 dated June 20, 2018, are followed in respect of the above appointment.

Profile of Sabareeshan CHITTUR KALYANAKRISHNAN

With a sound footing in both Science and Commerce education (B.Sc with CA as well as CS Qualifications) I have an Industrial experience of over 31 years, successfully guiding green /brown field projects, architecting turnaround and managing finances, legal affairs as well as Strategic policies of mid size companies. The last 16 years was with an Indo-American JV Automotive Axles Ltd, a listed company engaged in manufacture& sale of Drive Axles ( for a wide variety of Commercial Vehicles from 6 Tonnes GVW to 50 Tonne GVW) and Air Actuated Brakes. I was the member of the Board being an Executive Director ( Finance)/Chief Financial Officer & Company Secretary.

Opted to retire ahead of my term to pursue my passion for training and developing people, I have been training at Robert Bosch PAN India and South East Asia and other companies in India for over seven years or over 8000 man days between 2010 & 2017.

My long association and active participation in development of the Industry as Chairman CII Mysore (2009-10), Chairman Mysore Chapter of The ICSI ( 2003-04 ), Chairman Mysore Branch of SIRC of the Institute of Chartered Accountants of India(2017-18) and also Chairing National / Regional Seminars of the ICAI/ICSI (during the same period), placed me in an ideal position to play the coaching and mentoring role that is so much required and also highly valued in the organized sector of Business in India today. My openness and keenness to learn, sensitivity to people and patience & caring attitude in developing them are my best qualifications for this role.
