CLEANSING NOTICE UNDER SECTION 708A(5) OF THE CORPORATIONS ACT

Stemcell United Limited (ASX:SCU) (“Company”) advises that it has raised A$3,800,000 via a placement of 200,000,000 ordinary shares (and 110,000,000 options) on 23 April 2021 (“Securities”).

The Company hereby gives notice under Section 708A(5)(e) of the Corporations Act 2001 (Cth) (“Corporations Act”) that:

• 1. The Securities were issued by the Company without disclosure to investors under Part 6D.2 of the Corporation Act;
• 1. As at the date of this notice :

  • a) the Company has complied with the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • b) the Company has complied with Section 674 of the Corporations Act; and

  • c) there is no information that is "excluded information" within the meaning of Sections 708A(7) and 708A(8) of the Corporations Act.
