PUBLICATION OF THE ARTICLES OF ASSOCIATION
Modena – 27 May 2025. Notice is hereby given that – following the issuance, by the European Central Bank, of the assessment measure pursuant to art. 56 of the Consolidated Law on Banking concerning the amendment to the Articles of Association approved by the Extraordinary Shareholders' Meeting held on 18 April 2025 regarding the powers granted to the Board of Directors to resolve upon a share capital increase to serve the public exchange offer for all the ordinary shares of Banca Popolare di Sondrio S.p.A. – the updated Articles of Association was registered with the Companies Register of Modena on 23 May 2025 and is now available to the public at the Company's registered office, on the Emarket Storage mechanism and on the Bank's website (https://group.bper.it/en, in the section Governance – Documents).
