NOTICE

INFORMATION DOCUMENT ON A RELATED PARTIES TRANSACTION OF MAJOR IMPORTANCE

Modena, 13 February 2025 – BPER Banca S.p.A. informs that the Information Document prepared by the Bank pursuant to Article 5 of the Regulation adopted by Consob with Resolution No. 17221/2010 on transactions with related parties, concerning the voluntary public exchange offer (the "Offer") on all the ordinary shares of Banca Popolare di Sondrio S.p.A. announced by BPER Banca S.p.A. on 6th February 2025, which involves a capital increase of the same BPER, with exclusion of pre-emption right pursuant to Article 2441, paragraph 4, first sentence of the Italian Civil Code, reserved to the shareholders of BP Sondrio who will accept the Offer, is available, together with the favourable opinion of the Related Party Committee, at the Company's registered office in Modena, Via San Carlo 8/20, in the authorised "EmarketStorage" repository () and on the corporate website (https://group.bper.it/en) in the section reserved to the Offer.
