Merger by absorption of Optima S.p.A. SIM into Banca Cesare Ponti S.p.A.

Modena – 11 October 2023. Notice is hereby given that the resolutions of the Extraordinary Shareholders' Meetings of Banca Cesare Ponti S.p.A. ("Banca Cesare Ponti" or the "Acquiring Company") and of Optima S.p.A. Società di Intermediazione Mobiliare ("Optima SIM"), both held on 9 October 2023, approving the merger by absorption of Optima SIM into Banca Cesare Ponti, were respectively registered today with the Companies Registers of Milan and Modena. It is envisaged that the merger procedure may be concluded with the signing of the deed of merger once the terms established by law have expired, with the merger becoming effective in November this year.
