FILING OF THE DEED OF MERGER BY ABSORPTION OF BANCA CARIGE S.P.A. AND BANCA DEL MONTE DI LUCCA S.P.A. INTO BPER BANCA S.P.A.

Modena, 25 November 2022 – BPER Banca informs that the deed of merger by absorption of Banca Carige S.p.A – Cassa di Risparmio di Genova e Imperia and Banca del Monte di Lucca S.p.A. (jointly, the "Acquirees") into BPER Banca S.p.A. ("BPER"), entered into on 24 November 2022, was filed today with the relevant Companies' Registers.

The merger will be effective as of 28 November 2022; therefore, as of such date, BPER will take over all asset and liability relationships of the Acquirees. Conversely, the effective date for the merger accounting and fiscal treatment is 1 July 2022.
