MERGER THROUGH ABSORPTION OF CASSA DI RISPARMIO DI BRA S.P.A. AND CASSA DI RISPARMIO DI SALUZZO S.P.A. INTO BPER BANCA S.P.A.

(Notice pursuant to Article 84 of the Issuers' Regulation, as adopted by Consob Resolution no. 11971/1999 and subsequent amendments)

Filing and publication of documents pursuant to Article 2501-septies of the Italian Civil Code

Modena – 4 June 2020. Notice is hereby given that - following the registration of the merger draft terms of the aforementioned companies involved in the merger (the "Merger Draft Terms") with the Companies' Register, occurred after authorization has been granted by the competent Supervisory Authority, and in view of the Shareholders' Meeting which has been called to resolve upon approving the Merger Draft Terms (as per the notice of meeting published today), in accordance with Article 2502 of the Italian Civil Code copies of the following documents regarding the concerned merger procedure have been made available at BPER Banca's registered office, at Via San Carlo 8/20 - Modena: (i) the Merger Draft Terms; (ii) the Report of the Managing Body pursuant to Article 2501-quinquies of the Italian Civil Code; (iii) the Expert's Report pursuant to Article 2501-sexies of the Italian Civil Code on the fairness of the share exchange ratio regarding the absorption of Cassa di Risparmio di Bra S.p.A.; (iv) the last three years' financial statements of the companies involved in the merger, along with their related reports.

These documents have been posted on the website www.bper.it and are made accessible in the authorized storage mechanism ().

Shareholders are entitled to access them and ask for a copy.
