BPER BANCA SUCCESSFULLY PLACES A SENIOR PREFERRED GREEN BOND ISSUANCE FOR AN AMOUNT OF EURO 500 MILLION

ORDERS FOR OVER EURO 2.4 BILLION, ALMOST 5 TIMES THE OFFER

Modena – 15 May 2024. BPER Banca has successfully placed its second Senior Preferred Bond issuance qualifying as green in accordance with the BPER Group's Green, Social and Sustainability (GSS) Bond Framework, targeting institutional investors.

The issuance, with 7-year maturity and a call after year 6, was allocated for an amount of EUR 500 million.

Orders in excess of EUR 2.4 billion were raised for the issuance.

Well-diversified demand made it possible to lower the initial guidance of 155 bps over the 6-year mid-swap rate to 125 bps, resulting in an annual coupon of 4.00%, with an issue/re-offer price of 99.791%.

The geographical distribution sees participation from foreign investors (including 22% from France, 14% from the UK, 12% from Nordics, 11% overall from Germany, Austria and Switzerland, and Italian investors (29%). The final allocation was primarily in favour of investment funds (50%) and private banking (22%).

The issuance, whose proceeds will be used to finance and/or refinance Eligible Green Assets, complements BPER's ESG strategy.

Citi, Deutsche Bank, J.P. Morgan, NatWest Markets, Santander, UniCredit acted as Joint Bookrunners for the placement.

The issuance fits within BPER Banca's EUR 6 billion EMTN Programme (Euro Medium Term Note Programme), is centralised in dematerialised form at Euronext Securities Milan and will be listed on the Luxembourg Stock Exchange. The Notes are expected to be rated: BBB- (S&P), BBB- (Fitch), BBB (DBRS).

the Notes or otherwise making them available to any retail investor in the United Kingdom may be unlawful under the UK PRIIPs Regulation.
