FILING OF CANDIDACY TO FILL VACANCY IN THE BOARD OF STATUTORY AUDITORS

Modena, 19 November 2024 – We inform that, according to the terms and procedures set forth in Article 33.5 of the Articles of Association, BPER Banca has received a statement from Silvia Bocci confirming her candidacy for the position of Chair of the Board of Statutory Auditors and certifying she meets the suitability requirements and criteria for the office.

It is worth recalling that Silvia Bocci's candidacy was submitted as part of the list filed by Unipol Gruppo S.p.A. for the renewal of the Board of Statutory Auditors for the 2024-2026 three-year period, by the Ordinary Shareholders' Meeting of BPER Banca held on 19 April 2024. Angelo Mario Giudici, the outgoing Chairman of the Board of Statutory Auditors, had been selected from the same list, ranking second by the number of votes obtained.

The candidacy documents, including (i) the candidate's curriculum vitae, (ii) the aforementioned statement whereby the candidate confirms her candidacy, certifying, on her own responsibility, the absence of any reasons for ineligibility or incompatibility, and that she meets the requirements for appointment established by the applicable law and the Articles of Association, and (iii) an updated list of the positions held by the candidate in other companies, are available to the public at the registered office, on the Bank's website (https://group.bper.it/, in the section Governance – Shareholders – Shareholders' Meetings – December 2024) and in the authorised storage system ().
