Registration of merger resolutions with the competent Companies Registers
Modena – November 7, 2022. Notice is hereby given that the resolution of the Extraordinary Shareholders' Meeting of BPER Banca S.p.A. ("BPER" or the "Acquiring Company"), held on 5 November 2022, approving the merger of Banca Carige S.p.A. ("CARIGE") and Banca del Monte di Lucca S.p.A. ("BML") into BPER (the "Merger"), has today been registered with the Modena Companies Register.
The resolution of BML's Extraordinary Shareholders' Meeting held on 4 November 2022, likewise approving the Merger, was also registered today with the Lucca Companies Register. The resolution of the Extraordinary Shareholders' Meeting of CARIGE held on 4 November 2022, approving the Merger, was registered with the Companies Register of Genoa on 4 November.
