Directorate Changes and AGM Update

MOH Nippon Plc (LSE: MOH), a crowdfunding services provider for real estate investment in Japan, announces changes to the board and its committees.

Mr. Chiaki Takahashi has today resigned as Non-Executive Chairman and a director of the Company, with immediate effect, in order to pursue other business interests.

With effect from 23 September 2025, Mr. Kazuo Ichimura, a non-executive director of the Company, has been appointed Chairman of the board of directors and will step down from the Company's remuneration committee and from its audit committee. Mr. Nigel Collins will chair the related parties committee.

AGM Update

Following Mr. Takahashi's resignation, he will not seek re-election at the Company's Annual General Meeting to be held on 29 September 2025 ("AGM"). Accordingly, resolution four contained in the Notice of AGM will not be proposed at the AGM. The withdrawal of resolution four does not otherwise affect the validity of the Notice of AGM, the proxy form or any proxy votes already submitted on other proposed resolutions. The numbering of all other proposed resolutions at the AGM will remain unchanged, and arrangements for the AGM will remain unchanged from those previously notified.
