BOSS ENERGY LIMITED - NOTIFICATION PURSUANT TO SECTION 708A(5)(e) OF CORPORATIONS ACT 2001 (CTH) AND ASIC CORPORATIONS (SHARE AND INTEREST PURCHASE PLANS) INSTRUMENT 2019/547

This notice is given by Boss Energy Limited (ACN 116 834 336) ( ASX: BOE ) (‘ Boss ’ or the ‘ Company ’) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (' Corporations Act' ) and Australian Securities and Investments Commission Corporations (Share and Interest Purchase Plans) Instrument 2019/547 (' ASIC Instrument' ).

The Company refers to its announcement on 16 March 2022 in respect to a two-tranche placement (' Placement' ) and a share purchase plan (' SPP' ). Boss confirms it has issued 42,822,015 fully paid ordinary shares (' Shares' ) to certain professional and institutional investors pursuant to the first tranche of the Placement (' Tranche One Placement Shares' ).

The Company is offering Shares under the SPP to raise up to A$5 million. The SPP will be offered in accordance with the ASIC Instrument and a SPP booklet which will be dispatched to eligible shareholders of the Company.

The Company gives notice under section 708A(5)(e) of the Corporations Act and the ASIC Instrument that:

1. the Company issued the Tranche One Placement Shares, and will make offers to issue Shares under the SPP, without disclosure to investors under Part 6D.2 of the Corporations Act.

2. as at the date of this notice, the Company has complied with:

   • (i) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

   • (ii) section 674 of the Corporations Act.

3. as at the date of this notice, there is no 'excluded information' as defined in sections 708A(7) and (8) of the Corporations Act.
