BORR - BORR DRILLING LIMITED - MANDATORY NOTIFICATION OF TRADE

Magni Partners (Bermuda) Ltd. (“Magni”) has, on 18 November 2022, sold 872,073 shares in Borr Drilling Limited (“Borr”) to Drew Holdings Ltd. (“Drew”). The purchase price is USD 4.62 per share.

Drew and Magni are affiliates of Mr. Tor Olav Trøim. They are represented on the board of directors of Borr by Mr. Tor Olav Trøim.

Following the sale, Mr. Trøim and his affiliates hold 15,792,857 shares in Borr. This represents 6.9% of the total shares in issue and the voting rights in Borr. This is the same as prior to the transaction.

This notification is made with reference to the Market Abuse Regulation as reflected in Section 3-3 of the Securities Trading Act, cfr. Article 4-1 of the Securities Regulation.
