Item 5.02 Departure of Directors or Certain Officers: Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 23, 2016 Steven G. Carlson, Vice President and Controller, announced his retirement from BorgWarner Inc., effective September 30, 2016. Mr. Carlson currently serves as BorgWarner’s Principal Accounting Officer.

Ronald T. Hundzinski, age 57, Vice President and Chief Financial Officer of BorgWarner Inc., will assume the additional role of Interim Controller and Principal Accounting Officer effective September 30, 2016. Mr. Hundzinski has been Vice President and Chief Financial Officer (Principal Financial Officer) of the Company since March 2012. From August 2011 through March 2012 he was Vice President and Treasurer of the Company. Previously he was Vice President and Controller of the Company.
