1. The proposal for fund raising by way of preferential issue / private placement of securities for cash/ other than cash, including determination of Issue Price subject to such regulatory/statutory approvals as may be required, including the approval of shareholders of the Company.;

2. To transact other incidental and ancillary matters as may be decided by the Board with the permission of Chairperson.

This is to inform you that, in accordance with Regulation 9 of the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, and the Company’s Code of Conduct for Prevention of Insider Trading (the “Code”), the trading window for dealing in the securities of the Company shall closed from 24[th] November, 2025 until 48 hours after the declaration of the outcome of the Board Meeting. The trading window closure is applicable to all connected persons, officers, designated employees, insiders, directors, and immediate relatives of such persons, including but not limited to those specified under the Company’s Code of Conduct.
