POSTAL BALLOT NOTICE
Dear Member(s),
NOTICE is hereby given pursuant to the provisions of Section 108, 110 and other applicable provisions, if any, of the Companies Act, 2013 (the "Act" ) read with Rules 20 and 22 of the Companies (Management and Administration) Rules, 2014 ( " the Rules" ), Regulation 44 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ( “Listing Regulations” ), read with General Circular Nos.14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020 read with other relevant circulars including General Circular No. 09/2023 dated September 25, 2023, issued by the Ministry of Corporate Affairs (the “MCA Circulars” ) Secretarial Standards on General Meetings (“ SS-2 ”) issued by the Institute of Company Secretaries of India and any other applicable provisions, of the Act, rules, regulations, circulars and notifications (including any statutory modification(s), clarification(s) or re-enactment(s) thereof for the time being in force) to transact the items of special business as set out in the Postal Ballot Notice proposed to be passed by the Members of Blue Star Limited ( “the Company” ) through remote e-voting i.e. voting through electronics means.
In compliance with Regulation 44 of the Listing Regulations and pursuant to the provisions of Sections 108 and 110 of the Act, read with the Rules framed thereunder and the MCA Circulars, the manner of voting on the proposed resolution is restricted only to remote e-voting i.e., by casting votes electronically instead of submitting postal ballot forms. In accordance with the requirements of MCA Circulars, the Company will send Postal Ballot Notice by email, only to those members who have registered their email addresses with the Company/ RTA or depository/depository participants as on the cut-off date i.e. Friday, December 15, 2023. The communication of assent/dissent of the members will only take place through the remote e-voting system, and hence, hard copy of the Postal Ballot Notice along with postal ballot forms and pre-paid business envelope is not being sent to the Members. Further, the Company has made necessary arrangements with the Company’s Registrar and Share Transfer Agent, Link Intime India Private Limited (“RTA”) for the Members to register their e-mail address. Therefore, those Members who have not yet registered their e-mail address are requested to register the same by following the procedure set out in the Notes to the Postal Ballot Notice. Members who have already registered their e-mail addresses are requested to keep their e-mail addresses validated with the Company /RTA/depository participants to enable servicing of documents electronically to their e- mail address.

In compliance with the provisions of Section 108, 110 and other applicable provisions of the Act read with Rules framed thereunder, Regulation 44 of the Listing Regulations and SS-2, the Company has engaged National Securities Depository Limited (‘NSDL’), an authorised agency, to provide remote e-voting facility to its Members. The procedure for remote e-voting is provided in the Notes to this Postal Ballot Notice.
The remote e-voting period will commence on Thursday, December 21, 2023 (9:00 hours IST) and will end on Friday, January 19, 2024, (17:00 hours IST). During the remote e-voting period, Members of the Company holding shares either in physical form or in demat form, as on the cut-off date i.e. Friday, December 15, 2023, may cast their vote electronically.
The Board of Directors (the “Board’) has appointed Mr Bharat R Upadhyay (Membership No. FCS 5436), failing him Mr Bhaskar Upadhyay (Membership No. FCS 8663) Partners of M/s N L Bhatia & Associates, Practicing Company Secretaries, as the Scrutinizer to conduct the Postal Ballot through remote e-voting process in a fair and transparent manner.
After completion of remote e-voting period, the Scrutinizer will submit his Report to the Chairman/Vice Chairman & Managing Director/Managing Director/Group Chief Financial Officer/Company Secretary & Compliance Officer of the Company (‘officials’). The results of the voting conducted through postal ballot (through the remote e-voting process) along with Scrutinizer’s Report will be announced by either of the aforesaid officials of the Company on or before Monday, January 22, 2024.
The Board of Directors of the Company now propose to obtain the consent of the members by way of Postal Ballot for the matters as considered in the Special Resolution (‘Resolution’) appended below in accordance with Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014. The Explanatory Statement pursuant to Section 102, 110 and other applicable provisions, if any, of the Act pertaining to the said Resolution setting out material facts and the reasons for the Resolution is also annexed.
You are requested to peruse the proposed Resolution along with the Explanatory Statement and thereafter record your assent or dissent by means of remote e-voting facility provided by the Company.
SPECIAL BUSINESS
1. Re-appointment of Mr Arvind Singhal (DIN: 00709084) as an Independent Director of the Company
To consider and if thought fit, to pass, the following resolution as a Special Resolution:
“RESOLVED THAT pursuant to the provisions of Sections 149 and 152 of the Companies Act, 2013 read with Schedule IV and other applicable provisions, if

any, of the Companies Act, 2013 (the 'Act') and Rules framed thereunder, and pursuant to Regulation 16 and other applicable provisions, if any, of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, (the 'Listing Regulations') (including any statutory modification(s) or re-enactment(s) thereof for the time being in force), and on the recommendation of the Nomination and Remuneration Committee and the Board of Directors of the Company, Mr Arvind Singhal (DIN: 00709084), who was appointed as an Independent Director to hold office till February 4, 2024, and in respect of whom the Company has received a notice from member proposing his candidature for the office of Director under Section 160 of the Act, and who has submitted a declaration that he meets the criteria of independence as prescribed under the Act and the Listing Regulations and being eligible for re-appointment as an Independent Director, be and is hereby re-appointed as an Independent Director of the Company to hold office for a second consecutive term of five years commencing from February 5, 2024 to February 4, 2029, not liable to retire by rotation, upon such remuneration as may be determined by the Board of Directors of the Company from time to time within the overall limits of remuneration under the Act and the Listing Regulations, if any;
RESOLVED FURTHER THAT the Board, be and is hereby authorised to do all such acts and take all such steps as may be necessary, proper or expedient to give effect to this Resolution. ”

The relevant Explanatory Statement pursuant to Section 102 and 110 of the Act read with Rule 22 of the Rules setting out the material facts and reasons for the proposed Resolution mentioned in the Postal Ballot Notice is appended herein below for your consideration.

In compliance with the MCA Circulars, the Postal Ballot Notice along with the instructions regarding Remote e-Voting is being sent by email to all the Members, whose names appear on the Register of Members/List of Beneficial Owners as received from National Securities Depository Limited ('NSDL') and Central Depository Services (India) Limited (‘CDSL’) as on Friday, December 15, 2023, (the 'cut-off date' ) and who have registered their email addresses in respect of electronic holdings with the Depository through the concerned Depository Participants and in respect of physical holdings with the Company and Company’s Registrar and Share Transfer Agent, Link Intime India Private Limited (“RTA”).

The remote e-voting period will commence on Thursday, December 21, 2023 (9:00 hours IST) and will end on Friday, January 19, 2024, (17:00 hours IST). (The e- voting module shall be disabled by NSDL for voting thereafter and the voting shall not be allowed beyond the said date and time.) The voting shall be reckoned in proportion to a Member's share of voting rights on the paid-up share capital of the Company as on the cut-off date.

Pursuant to the applicable provisions of the Act and Rules framed thereunder and the Listing Regulations, the Company can serve notices, annual reports and other communication through electronic mode to those Members who have registered their e-mail addresses either with the Depository Participant(s) or the Company. Members who have not registered their e-mail addresses with the Company can now register the same by sending an e-mail to the RTA on [email protected]. Members holding shares in demat form are requested to register their e-mail addresses with their Depository Participant(s) only.

The Resolution, if approved by the requisite majority through Postal Ballot, shall be deemed to have been duly passed on Friday, January 19, 2024 i.e. the last date specified by the Company for receipt of votes through the Remote e-Voting process.

As required by Rule 20 and Rule 22 of the Companies (Management and Administration) Rules, 2014 read with the MCA Circulars and the Listing Regulations, the details pertaining to this Postal Ballot will be published in one

All documents referred to in the Postal Ballot Notice will also be available electronically for inspection, without any fee, to the Members from the date of circulation of the Postal Ballot Notice up to the closure of the voting period. Members desirous of inspecting the documents referred to in the Notice or Statement may send their requests to [email protected] from their registered e-mail addresses mentioning their names, folio numbers/DP ID and Client ID..

The results of the postal ballot will be placed on the Company’s website at www.bluestarindia.com and on the website of NSDL at www.evoting.nsdl.com and will also be intimated to the Stock Exchanges where the shares of the Company are listed i.e. BSE Limited and National Stock Exchange of India Limited, in accordance with the provisions of Listing Regulations. The Company will also display the results of the postal ballot at its registered office as well as corporate office.
VOTING THROUGH ELECTRONIC MEANS
In compliance with provision of Section 108, 110 and other applicable provisions of the Act read with Rules framed thereunder, Regulation 44 of the Listing Regulations and SS-2, the Company is pleased to provide e-voting facility to all its members, to enable them to cast their vote electronically instead of dispatching the physical Postal Ballot form by post. The Company has engaged the services of NSDL for the purpose of providing e-voting facility to all its members.
The instruction for e-voting are as under:

The password to open the .pdf file is your 8 digit client ID for NSDL account, last 8 digits of client ID for CDSL account or folio number for shares held in physical form. The .pdf file contains your ‘User ID’ and your ‘initial password’.

How to cast your vote electronically on NSDL e-Voting system?

After successful login at Step 1, you will be able to see all the companies “EVEN” in which you are holding shares and whose voting cycle.

Select “EVEN” of company for which you wish to cast your vote during the remote e-Voting period.

Now you are ready for e-Voting as the Voting page opens.

Cast your vote by selecting appropriate options i.e. assent or dissent, verify/modify the number of shares for which you wish to cast your vote and click on “Submit” and also “Confirm” when prompted.

Upon confirmation, the message “Vote cast successfully” will be displayed.

You can also take the printout of the votes cast by you by clicking on the print option on the confirmation page.

Once you confirm your vote on the resolution, you will not be allowed to modify your vote.
GENERAL GUIDELINES FOR SHAREHOLDERS

Institutional shareholders (i.e. other than individuals, HUF, NRI etc.) are required to send scanned copy (PDF/JPG Format) of the relevant Board Resolution/Authority Letter etc. with attested specimen signature of the duly authorized signatory(ies) who are authorized to vote, to the Scrutinizer by e-mail to [email protected] with a copy marked to [email protected]. Institutional shareholders (i.e. other than individuals, HUF, NRI etc.) can also upload their Board Resolution/Power of Attorney/Authority Letter etc. by clicking on “Upload Board Resolution/Authority Letter” displayed under “e-Voting” tab in their login.

It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential. EXPLANATORY STATEMENT UNDER SECTION 102 OF THE COMPANIES ACT, 2013
ITEM NO. 1
Mr Arvind Singhal, aged 65 years, was appointed as an Independent Director of the Company for a term of five consecutive years effective February 5, 2019 and his first term as Independent Director is valid till February 4, 2024.
The Nomination and Remuneration committee at its meeting held on December 5, 2023, after taking into consideration Mr Arvind Singhal’s expertise in the area of Strategy & Business Planning, Financial Acumen, Stakeholder Value Creation among others, his experience, knowledge and time commitment towards the affairs of the Company and valuable contribution made by him during his tenure as an Independent Director and the performance evaluation during the first term of five years, has recommended to the Board his re-appointment as an Independent Director for a second term of five years. The Nomination and Remuneration Committee is of the view that Mr Arvind Singhal possesses the requisite skills and capabilities, which would be of immense benefit to the Company, and hence, it is desirable to re-appoint him as an Independent director for the second term of five years. Based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors approved re-appointment of Mr Arvind Singhal as an Independent Director of the Company for a second consecutive term of five years commencing from February 5, 2024 to February 4, 2029, not liable to retire by rotation, subject to approval of the Members.
Brief profile:
Mr Arvind Singhal is the Founder & Chairman of Technopak Advisors, one of India’s leading management consulting firms focusing on four key sectors that include Consumer Products & Retail, Textiles & Apparel, Food & Food Services, and Education & Skills Development. He is also an Independent Director on the Boards of Welspun India, Greaves Cotton Limited, and Metro Brands Limited. He is also serving on the Advisory Boards of Dubai headquartered Apparel Group, and West Africa headquartered Group SNS. In addition, he is also serving on the Leadership Advisory Council of IIT-Gandhi Nagar. He holds an Engineering Degree from IIT-Roorkee (Electronics & Communication), which has also recognised him as a ‘Distinguished Alumnus,’ and an MBA (Finance & Marketing) from UCLA, USA.
The Company has received a declaration from Mr Arvind Singhal under Section 149 of the Act and Regulation 16 of the Listing Regulations confirming that he meets the criteria of independence as prescribed under the Act and Listing Regulations. The Company has also received from Mr Arvind Singhal consent to re-appointment and a declaration that he is not disqualified from being re-appointed as Director in terms of Section 164 of the Act. Mr Arvind Singhal is also registered with databank of Independent Directors maintained by the Institute of Corporate Affairs. Further, Mr

Arvind Singhal is not debarred from holding office of a Director by virtue of any order passed by SEBI or any other such authority.
The Company has received a notice in writing from a member under Section 160 of the Act proposing the candidature of Mr Arvind Singhal for the office of Director of the Company.
In the opinion of the Board, Mr Arvind Singhal fulfils the conditions of Independence as specified in the Act and the Listing Regulations for his proposed re-appointment as an Independent Director and is independent of the Management.
The Board is of the view that his continued association will add value and it will be in the best interest of the Company to re-appoint him as an Independent Director for a second consecutive term of five years commencing from February 5, 2024 to February 4, 2029.

Except Mr Arvind Singhal as it concerns himself, none of the other Directors and Key Managerial Personnel of the Company and their respective relatives, is financially or otherwise, concerned or interested in the said resolution.
