Sub: Outcome of Board Meeting pursuant to regulation 30 of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015

Dear Sir/Madam,

Pursuant to the provisions of Regulation 30 of SEBI (Listing Obligations and Disclosures Requirements) Regulations, 2015 (`SEBI LODR Regulations’), we wish to inform you that in the Meeting of the Board of Directors of the Company held on April 25, 2025 which commenced at 7.30 p.m. and concluded at 8.55 p.m., the Board of Directors noted/approved inter-alia the following :

1. Ms. Sudha Pai, Chief Financial Officer (KMP), has tendered her resignation vide E-mails dated April 25, 2025 to pursue external opportunity. Accordingly, she will be relieved from her duties effective from April 30, 2025 after the close of business hours.

The Board of Directors noted her resignation.

E-mail communication tendering resignation received from Ms. Sudha Pai is enclosed as Annexure ‘A’.

The requisite details as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read along with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 are given as Annexure ‘B’

1. Pursuant to approval and recommendation by the Nomination & Remuneration Committee and Audit Committee, Mr. Sagar Patil, Head – Corporate Accounts would assume her responsibilities till the time CFO is appointed. Mr. Sagar Patil would be a Key Managerial Personnel (KMP) for assuming responsibilities till the time CFO is inducted.

The requisite details as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read along with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 are given as Annexure 'C'.
