INSIDE INFORMATION POTENTIAL STRATEGIC INVESTMENT IN SUBSIDIARY

This announcement is made by Concord New Energy Group Limited（協合新能源集團有限公司 *） the “ Company ”, together with its subsidiaries, the “ Group ”) pursuant to Rule 13.09(2) of the Rules (the “ Listing Rules ”) Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”) and the Inside Information Provisions (as defined under the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

THE POTENTIAL INVESTMENT

The board (the “ Board ”) of directors (the “ Directors ”) of the Company hereby announces that Century Concord, Yongzhou Jiepai and Three Gorges Capital has signed a non-exclusive Investment Intention Agreement on 3 June 2020, pursuant to which Three Gorges Capital intends to invest in Yongzhou Jiepai, with a total amount of approximately RMB1.0-1.5 billion. Three Gorges Capital will subscribe for no more than 20% of the equity of Yongzhou Jiepai upon the completion of Investment (“ Potential Investment ”).

Three Gorges Capital Holdings Co., Ltd.*（三峽資本控股有限責任公司）(“ Three Gorges Capital ”), a company established in the PRC with limited liability. It is a subsidiary of China Three Gorges Corporation which is mainly engaged in new energy investment.

Century Concord

Century Concord Wind Power Investment Co., Ltd.*（協合風電投資有限公司）(“ Century Concord ”), a company established in the PRC with limited liability and a wholly-owned subsidiary of the Company. Yongzhou Jiepai is wholly-owned by Century Concord.

Yongzhou Jiepai

Yongzhou Jiepai Century Concord Wind Power Co., Ltd.*（永州界牌協合風力發電有限公司） (“ Yongzhou Jiepai ”), a company established in the PRC with limited liability and an indirect wholly-owned subsidiary of the Company. Yongzhou Jiepai is also the Group’s wind power business investment management platform, mainly engaged in wind power project investment and development.

As at the date of this announcement, the parties are still negotiating the terms and conditions of the Potential Investment.

The Potential Investment, if materializes, may constitute a major transaction for the Company under Chapter 14 of the Listing Rules. Further announcement(s) will be made by the Company as and when appropriate in compliance with the Listing Rules.

As the Potential Investment may or may not proceed, shareholders and potential investors of the Company are reminded to exercise caution when dealing in the shares of the Company.
