ANNOUNCEMENT

The Board of Directors (the "Board") of Hong Kong Pharmaceutical Holdings Limited (the "Company") announce that Mr. Pang Chak Tong, Laurence resigned as an independent non-executive director of the Company on 22 March, 2003. Mr. Zhang Ke, Winston, the Chief Financial Director of the Group and Dr. Melvin Wong be appointed as an executive director and an independent non-executive director of the Company respectively on the same day. The Company would like to express appreciation towards Mr. Pang for his valuable contribution to the Company.
