PDMR dealings

Rockrose Energy plc (LSE: RRE) (the "Company") announces that, as set out in the prospectus published by the Company today:

(1)  Andrew Austin has today, with the approval of the remuneration committee (the "Remuneration Committee") of the board of directors of the Company (the "Board"), exercised an option to acquire 1,533,333 ordinary shares of nominal value 20p in the capital of the Company ("Ordinary Shares") on terms of his option award dated 22 December 2015, following which the option agreement will lapse in respect of any future entitlement to additional options (the option was due to extend to such number of Ordinary Shares as represent 10 per cent of the issued share capital of the Company from time to time until certain thresholds were met) and to waive any contractual right to future share based compensation; and

(2)    The Board has, on a recommendation of the Remuneration Committee, granted a total of 372,050 share options, in accordance with the rules of the Company's Share Option Plan 2015, to members of the senior management team as follows:

Peter Mann                                          212,600 options

Steve Pawson                                     159,450 options

All of the options awarded are for 10 years and each award will vest 33.3% on the first, second and third anniversary of the Award Date. The exercise price for each option is set at 127 pence per Ordinary Share. Any exercise of the options may be satisfied out of the 13,667 Ordinary Shares remaining in the Company's employee benefit trust or by the issue of new Ordinary Shares.

The Company currently has 15,333,334 Ordinary Shares in issue.
