BlackWall Limited (ASX:BWF) – Notice under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by BlackWall Limited (ABN 37 146 935 131) ( BWF ) under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth) ( Act ). BWF advises that:

• a) on 14 November 2023, BWF has issued 600,000 fully paid ordinary shares in BWF ( Issued Shares ) as consideration for the acquisition of units in an unlisted fund;

• b) the Issued Shares were issued without disclosure to investors under Part 6D.2 of the Act and without a Product Disclosure Statement for the Issued Shares being prepared;

• c) this notice is given under sections 708A(5)(e) and 1012DA(5)(e) of the Act;

• d) as a disclosing entity, BWF is subject to regular reporting and disclosure obligations; and

• e) as at the date of this notice, BWF has complied with:

  • i. the provisions of Chapter 2M of the Act as the apply to BWF; and

  • ii. section 674 of the Act as it applies to BWF; and

• f) as at the date of this notice there is no “excluded information” within the meaning of sections 708A(7), 708A(8), 1012DA(8) of the Act.
