Takeover bid by BlackWall Limited ACN 146 935 131 for Pelorus Private Equity Limited – extension of offer period

BlackWall Limited ACN 146 935 131 (ASX:BWF) ( BWF ) refers to its offers dated 18 September 2023 ( Offer ) in relation to its off-market takeover bid for all of the fully paid ordinary shares in Pelorus Private Equity Limited ACN 091 209 639 ( Pelorus ) pursuant to its bidder’s statement dated 18 September 2023 ( Bidder’s Statement ).

BWF has determined to extend the period during which the Offer will remain open for acceptance until 5:00pm (Sydney time) on 26 October 2023 pursuant to subsection 650C(1) of the Corporations Act 2001 (Cth) ( Corporations Act ).

Attached, is formal notice given by BWF pursuant to section 650D of the Corporations Act, in relation to the extension of the offer period, lodged with the Australian Securities and Investments Commission on 12 October 2023.

This release has been authorised by the board of directors of BWF.

BlackWall Limited ACN 146 935 131 (ASX: BWF) ( BWF ) gives this notice under section 650D of the Corporations Act 2001 (Cth) ( Corporations Act ) in respect of its offers dated 18 September 2023 ( Offer ) in relation to its off-market takeover bid for all of the fully paid ordinary shares in Pelorus Private Equity Limited ACN 091 209 639 ( Pelorus ) pursuant to its bidder’s statement dated 18 September 2023 ( Bidder’s Statement ).

Capitalised terms in this notice have the same meaning as given in the Bidder’s Statement, unless the context requires otherwise.

Extension of Offer Period

BWF gives notice under section 650D(1) of the Corporations Act that pursuant to section 650C(1) of the Corporations Act it varies the Offer by:

• (a) extending the period during which the Offer will remain open for acceptance until 5:00pm (Sydney time) on 26 October 2023, unless withdrawn or further extended;

• (b) replacing references to ’19 October 2023’ with ’26 October 2023’ in all places in the Bidder’s Statement and the Acceptance Form where ’19 October 2023’ appears (or is deemed to appear) as the last day of the Offer Period; and

• (c) replacing the reference to ’12 October 2023’ with ’19 October 2023’ in section 8.5 of Appendix 1 on page 66 of the Bidder’s Statement.
