This is to inform you that the Board of Directors of AGC Networks Limited has passed a circular resolution on May 12, 2020 and approved the allotted of 35,227 Equity shares to Mr. Sanjeev Shekhar Verma, Whole-Time Director, being a ESOP holders, pursuant to the exercise of ESOP options vested upon him as per the terms of “AGC Networks Employee Stock Option Scheme, 2015” (“the Scheme”).

Consequently, as on May 12, 2020, the Issued, Subscribed and Paid-up Capital of the Company stands increased to Rs. 29,77,98,760/- divided into 2,97,79,876 Equity Shares of Rs. 10/- each.

Further, in line with the aforesaid allotment of equity shares upon exercise of ESOP options, please find enclosed herewith the statement under Regulation 10(c) of SEBI (Shares Based Employees Benefit) Regulations 2014.
