This is to inform you that pursuant to scheme of Merger sanctioned by Hon'ble NCLT Ahmedabad and Mumbai bench respectively, M/s. Onir metallics Limited has been merged with Essar Steel Metal Trading Limited.

In this regard, Essar Steel Metal Trading Limited has become holder of 68,07,267 Equity Shares of face value Rs.10/- (Rupees Ten Only) each and 4,98,964 warrants of AGC Networks Limited held by Onir Metallics Limited.

The attached disclosure has been made in compliance with Regulation 10(6) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 setting out details of the transfer of shares and warrants of AGC Networks Limited by way of inter se transfer amongst promoter group entities.
