Dear Sir/Madam,

This is in reference to your e-mail dated September 21, 2021 received by AGC Networks Limited (“the Company”) seeking clarification with respect to the appointment of Mr. Anshuman Ruia (DIN: 00008501) as an Executive Director of the Company at its Board meeting held on September 20, 2021.

We would like to draw your attention to the fact that Mr. Anshuman Ruia is already an existing Director on the Board of the Company. In the present case he is only being re-designated from Nonexecutive Director to Executive Director.

In view of the above, the directions issued in SEBI Letter dated June 14, 2018 read alongwith NSE Circular dated June 20, 2018 are not applicable in this case.
