Subject: Outcome of the meeting of Nomination and Remuneration Committee (“NRC”) of the Company granting options under the Birlasoft Share Incentive Plan – 2019.

Dear Sir / Madam,

This is to inform you that, pursuant to the approval of the “Birlasoft Share Incentive Plan – 2019” (“ Plan ”) by the Board of Directors dated August 12, 2019 and by the shareholders of the Company through postal ballot dated October 3, 2019, the NRC, at its meeting held on March 26, 2020, has approved the grant of 1,05,000 (One lakh and five thousand) Options to Eligible Employees of the Company:

• a) The Vesting Period/criteria for the above grant has been determined by the NRC in accordance with the terms of the Plan.

• b) The Grant Price for the above grant shall be INR 58.30 as has been determined by the NRC in accordance with the terms of the Plan.

• c) Each Option shall carry the right to be converted into one Share.

Further, due to the Coronavirus pandemic and the restrictions imposed by the Government for free movement, we are working from home, and hence, unable to submit signed disclosures.
