Information on Special Resolution proposed in Postal Ballot Notice of Birlasoft Limited (“the Company”) dated December 15, 2023 at item no. 2

Dear Sir/Madam,

This is in relation to the Postal Ballot Notice of the Company dated December 15, 2023 (the “Notice”).

The Company had provided additional information on January 2, 2024, in respect of the following Special Resolution proposed in the Notice at item no. 2 -

• Appointment of Ms. Nidhi Killawala (DIN: 05182060) as an Independent Director of the Company for a term of 5 (five) years.

In continuation to the information already made available, the Company hereby states as follows:

1. Khaitan & Co. LLP (“KCO”) is one of the many legal firms from whom the Company avails legal services.

2. Out of the total amount of INR 929.7 million paid towards legal and professional fees (“fees”) for FY 2022-23, the Company paid INR 5.93 million to KCO. Hence, there has been no material pecuniary relationship with KCO. Ms. Nidhi Killawala, had, based on information available with her also confirmed that KCO as a legal firm had no material pecuniary relationship with the Company. As previously informed by the Company, Ms. Nidhi Killawala is one of the firm’s over 235 partners and has never worked on any assignment either for Birlasoft Limited or any other company of the CK Birla Group.
