Sub: Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

Dear Sir/Ma’am,

In continuation of our earlier intimation bearing reference no. BPTL/Sec/36/2025-26 dated December 22, 2025, regarding the appointment of Mr. Deep Chandan as an Additional, Non-Executive, Independent Director of the Company, we wish to submit the following for your kind information and record.

Pursuant to the approval accorded by the Board of Directors at its meeting held on December 22, 2025, the Company had approved the appointment of Mr. Deep Chandan as an Additional, Non-Executive, Independent Director, subject to the allotment of his Director Identification Number (DIN). Since the DIN had not been allotted as on the date of the Board Meeting, the exact date of appointment was not ascertainable at the time of submitting the Board Meeting outcome to the Bombay Stock Exchange.

Accordingly, in compliance with the provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the SEBI Master Circular bearing reference no. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, the Company had duly disclosed all requisite details in the aforesaid intimation, specifying the date of appointment as “from the date of allotment of DIN.”

Subsequent to the Board’s approval, the Company immediately made an application to the Registrar of Companies (ROC) for allotment of DIN, and the DIN was allotted on December 22, 2025. Upon allotment of the DIN, the appointment of Mr. Deep Chandan became effective.

The Company has thereafter disclosed the Change in Management to the Stock Exchange in XBRL format, specifying the date of appointment as December 22, 2025.

In furtherance thereof, we hereby reiterate and submit the updated particulars, including the confirmed date of appointment, in terms of the aforesaid SEBI Master Circular.

Kindly take the same on record.

Education:

Mr. Deep Chandan is an Indian Chartered Accountant and a commerce graduate.

Professional Experience: (including Core Competencies and Expertise)

He has extensive experience in advising on mergers and acquisitions involving complex commercial, regulatory, tax and accounting dimensions. His expertise spans strategic and private equity transactions (including acquisition, divestment, and structuring), corporate and group restructurings, succession planning, family settlements and various other corporate and governance-related matters. He currently serves as an Executive Director at Katalyst Advisors Private Limited, where he advises promoter families and businesses on critical strategic and transactional decisions. Prior to this, he was associated with Grant Thornton and Ernst & Young (EY), where he gained extensive exposure to transaction advisory across diverse sectors.
