Notes:

• The above Unaudited Financial Results were reviewed and recommended by the Audit Committee and approved by the Board of Directors at their respective meetings held on 6th Febru ary,2020. The Statutory Auditors ofthe Company have caried out a lirnited review ofthe said results.
• The Company has adopted Ind AS 116 "Leases" as notified by Ministry of Corporate Affairs effective from 1st April, 2019 and its application did not have any material impact on the financial results including the retained eamings as at 1st April, 2019.
• The Company has only ong reportable primary business segment i.e. Cables, based on guiding principles given in Ind AS 108 "Operating Segments" notified pursuant to Companies (Indian Accounting Standards) Rules, 2015. Accordingly, the disclosure requirements of Ind AS 108 are not applicable.
• The figures ofthe previous periods are re-classified/rearranged, wherever necessary, to correspond with the cument period's classification and disclosure.

We have reviewed the accompanying statement of unaudited standalone financial results ('the Siatement') ofBirla Cdble. Lirnited {"the Company") for the quarter and nine monthsended 31't December, 2019, being submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 20L5, as amended including relevant circular issued by the SEBI from time to time

This Statement, which is the responsibility of the company's management and approved by the Board of Directors, has been prepared in accordance with the recognition ar:d measurement principles laid down in lndian Accounting Standard 34 "lnterim Financial Reporting" ("lnd AS 3a"), prescribed under section 133 of the Companies Act, 2013, and other accounting principles generally accepted in India and in compliance with Regulation 33 of the Listing Regulations. Our responsibility is to issue a report on the Statement based on our review.

We conducted ouT Teview in accordance with the Standard on Review Engagement (SRE) 2410, " Review of lnterim Finoncial Informdtion Performed by the lndependent Auditors ol the Entity", issued by the Institute of Chartered Accountants of India. This Standard requires that we plan and perform the review to obtain moderate assurance as to whether the financial statement arefree of material misstatement. A review is limited primarily to inquiries of Company personnel and analytical procedures applied to financial data and thus provide less assurance than an audit. We have not performed 5n audit and accordingly, we do not express an audit opinion.

Based on our review conducted as above, nothing has come to our attention that causes us to believe that the accompanying Statement, prepared in accordance with applicable accounting standards and other recognized accounting practices and policies has not disclosed the information required to be disclosed in terms of Regulation 33 of the Listing Regulations including the manner in which it is to be disclosed, or that it contains anv material misstatement
