Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of the Company ("the Board") at its Meeting held today i.e. 2nd May, 2023 has inter-alia taken the following decisions:

• 1. Accepted the Resignation of Shri Somesh Laddha from the post of Company Secretary & Compliance Officer, a Whole-Time Key Managerial Personnel (KMP) of the Company with effect from the close of business hours on 2nd May, 2023.
• 1. Appointment of Shri Somesh Laddha as the Chief Financial Officer (CFO), a Whole-Time Key Managerial Personnel (KMP) of the Company with effect from 3rd May, 2023.
• 1. Appointment of Shri Nitin Arora as the Company Secretary & Compliance Officer, a Whole-Time Key Managerial Personnel (KMP) of the Company with effect from 3rd May, 2023.
• 1. Re-appointment of Shri R. Sridharan as the Manager and Chief Executive Officer (CEO) of the Company for a further period of consecutive three (3) years with effect from 4th May, 2023 to 3rd May,2026, subject to the approval of members of the Company.
• 1. Obtaining approval of the members of the Company through Postal Ballot Notice for the re-appointment of Shri R. Sridharan as the Manager and CEO of the Company.

Postal Ballot Notice along with Explanatory Statement shall be sent to the members of the Company in due course and the same shall be simultaneously intimated/submitted to the Stock Exchanges as well.

The requisite details are enclosed herewith pursuant to regulation 30(6) read with Schedule III Part A Para A(7) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 09, 2015. (Annexure-'A')
