EXPLANATORY NOTE

This Amendment No. 1 to Form 6-K is being filed to correct a printer’s error that occurred in the original filing on August 13, 2012. The error was in Schedule A (By-law No. One) attached to the Management Proxy Circular of the original filing, whereby certain changes to Birks & Mayors Inc.’s By-law No. One were inadvertently not marked as changes.

Except for the matter described above, this Amendment No. 1 to Form 6-K does not contain any other changes to the Form 6-K filed on August 13, 2012.
